COORBITAL, INC. - TERMS OF SERVICE

1. ACCEPTANCE
These Terms of Service ("Terms") govern your access to and use of coorbital.com,
including all pages, forms, downloads, and content made available through it (the
"Site"). The Site is operated by Coorbital, Inc. ("Coorbital," "we," "us"). By accessing the Site, submitting a form, or downloading material from it, you agree to these Terms. If you do not agree, please do not use the Site.
2. PERMITTED USE
You may view, download, and print material from the Site for your own internal
reference and evaluation. You may not:
- scrape, harvest, or systematically extract content by automated means, except for standard search engine indexing;
- attempt to gain unauthorized access to the Site or any connected system, or probe, scan, or test its security;
- misrepresent your identity or affiliation when submitting a form; or
- use the Site in violation of any applicable law, including export control law.
3. TECHNICAL CONTENT IS INFORMATIONAL ONLY
The Site contains engineering and scientific material, including research papers,
preprints, analysis results, performance figures, benchmarks, orbit data, simulation
outputs, and descriptions of methods. All of it is provided for general
information and discussion only.
Technical content on the Site is not engineering advice and does not constitute a
mission design, a safety analysis, a flight-certification product, or a recommendation to
adopt any architecture. It reflects specific assumptions, models, fidelity levels, and
input data that may not apply to your program, and it may be revised, superseded, or
withdrawn without notice. It must not be relied upon as the basis for any design,
procurement, investment, launch, operational, or safety decision.
Any engagement in which Coorbital delivers analysis for your program is governed by a
separate written agreement. Only that agreement defines what we deliver, which assumptions
apply, and what we are responsible for. Nothing on the Site modifies or adds to any such
agreement.
4. NO PROFESSIONAL RELATIONSHIP
Contacting us through the Site, submitting a form, joining a waitlist, or requesting a
working session does not create a consulting relationship, a client relationship, a
teaming arrangement, or any duty of confidentiality.
5. SUBMISSIONS ARE NOT CONFIDENTIAL
Some pages invite you to describe your use case, program, or technical needs.
Please do not send confidential, proprietary, export-controlled, or classified
information through the Site.
Any material you submit through the Site is treated as non-confidential and
non-proprietary. By submitting it, you grant Coorbital a non-exclusive, worldwide,
royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, and
incorporate that material for any lawful business purpose, and you represent that you have
the right to grant that license.
We work in areas that frequently overlap with problems our visitors describe, and we
develop our own concepts independently. Nothing submitted through the Site obligates us to
treat your idea as confidential, to refrain from developing similar concepts, or to
compensate you for anything we develop.
If you need to share something confidential, contact us and we will put a written
nondisclosure agreement in place first.
6. SOFTWARE
pumpkyn (open source). The pumpkyn toolbox is distributed separately
through MathWorks File Exchange and GitHub under the BSD 3-Clause license. That license,
not these Terms, governs your rights to use, copy, modify, and distribute the toolbox.
Nothing here grants you additional rights in it or restricts the rights that license
gives you.
pumpkynPIE and other commercial software. Any professional, licensed,
or subscription software we offer is provided under a separate written license agreement.
Joining a waitlist does not grant a license, create an entitlement, or commit us to any
delivery date, feature set, price, or platform.
7. INTELLECTUAL PROPERTY
Except for third-party material and separately licensed open-source software, all
content on the Site, including text, figures, diagrams, animations, data, page design, and
documentation, is owned by Coorbital or its licensors and is protected by copyright and
other laws.
"Coorbital," the Coorbital logo, "we orbit differently," "pumpkyn," and "pumpkynPIE"
are trademarks of Coorbital, Inc. You may not use them without our prior written
permission, except in ordinary descriptive reference to us or our products.
Published papers and preprints linked from the Site may be subject to the license terms
of the publisher or repository hosting them. Those terms control for those works.
8. EXPORT CONTROL
Coorbital is a United States company. Content and software made available through the
Site may be subject to United States export control laws, including the Export
Administration Regulations and, where applicable, the International Traffic in Arms
Regulations.
You agree not to export, re-export, transfer, or otherwise make available any Site
content or software in violation of those laws, and you represent that you are not located
in, and are not a national of or acting on behalf of any party in, a country or entity
subject to United States embargo or restricted-party designation. Publicly available and
published information is not subject to those restrictions. Nothing on the Site is an offer
to provide technical assistance or defense services to any foreign person absent required
authorization.
9. PRIVACY
Our collection and handling of personal information is described in our
Privacy Policy, which is incorporated into these Terms by
reference.
10. THIRD-PARTY LINKS
The Site links to third-party sites and repositories, including MathWorks File
Exchange, GitHub, arXiv, HAL, and publisher pages. We do not control those sites and are
not responsible for their content, availability, or practices. A link is not an
endorsement.
11. DISCLAIMER OF WARRANTIES
THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT
WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY AS TO ACCURACY,
COMPLETENESS, CURRENCY, OR RELIABILITY OF TECHNICAL CONTENT. WE DO NOT WARRANT THAT THE
SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
12. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COORBITAL AND ITS OFFICERS, EMPLOYEES, AND
CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL,
EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, MISSION
OBJECTIVES, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR
RELIANCE ON ANY CONTENT ON IT, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF
THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING
TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain exclusions or limitations, so parts of this
section may not apply to you.
13. INDEMNIFICATION
You agree to indemnify and hold harmless Coorbital and its officers, employees, and
contractors from any claim, loss, liability, or expense, including reasonable attorneys'
fees, arising out of your use of the Site, your violation of these Terms, or your violation
of any law or third-party right.
14. GOVERNING LAW AND VENUE
These Terms are governed by the laws of the State of California, without regard to its
conflict-of-laws rules. Any dispute arising out of or relating to the Site or these Terms
will be brought exclusively in the state or federal courts located in Los Angeles County,
California, and you consent to personal jurisdiction there.
15. CHANGES
We may revise these Terms at any time by posting an updated version with a new "Last
updated" date. Continued use of the Site after a change means you accept the revised
Terms.
16. SEVERABILITY AND ENTIRE AGREEMENT
If any provision is held unenforceable, the remainder stays in effect. These Terms,
together with the Privacy Policy, are the entire agreement between you and Coorbital
regarding the Site, and do not supersede any separate written agreement between us.
